mechwarrior3 will not work on my new computer!with winxp

when i installed mechwarrior3 on my new computer it told me that this game had a none conflect with winxp. up to this time I have looked hard and long but still can not find the fix for it. please help!
So far i have tryed almost every dl sight i know of and a few others but nothing. I have also tryed to run it in compatibility mode but there is not one for winxp. this is my last hope please let me know if you have some thing that might help.
